  • Working Day: means Monday to Friday excluding bank holidays in England and Wales.
  • Cleared Funds: means funds received by Fabertec into its nominated bank account and visible as cleared and
    available funds.

1.2 References to writing include email. No variation of these Terms and Conditions is valid unless agreed in
writing by an authorised director of Fabertec.
1.3 Where there is any conflict between these Terms and Conditions and any Customer purchase order, standard
terms or other document, these Terms and Conditions shall prevail unless Fabertec expressly agrees otherwise in
writing.

2. Quotations, Orders and Acceptance

2.1 Quotations are valid only for the period stated on the Quotation. If no period is stated, the Quotation may be withdrawn or amended by Fabertec at any time before acceptance.

2.2 An order is accepted only when Fabertec has confirmed acceptance in writing or has issued an invoice or pro forma invoice.

2.3 By paying a deposit, balance payment or full invoice amount, or by allowing delivery, installation or service work to proceed, the Customer acknowledges and agrees to these Terms and Conditions.

2.4 All sales are final once the Machine has been delivered, installed or commissioned, except where Fabertec agrees otherwise in writing. In exceptional cases Fabertec may offer a buy-back or return arrangement, but this shall be at Fabertec's sole discretion and may include deductions for administration, transport, commissioning, training, software, finance, depreciation, inspection, repair and any other costs incurred.

2.5 The Customer is responsible for checking that the Quotation correctly identifies the Machine, options, model, power, working area, software, accessories and any agreed Services before payment is made.

3. Prices, Payment and Cleared Funds

3.1 All prices are exclusive of VAT unless expressly stated otherwise.

3.2 Payment terms are as stated on the invoice or Quotation. Unless otherwise agreed in writing, delivery and installation shall not be scheduled until Fabertec has received full payment in Cleared Funds.

3.3 A payment shall not be treated as received until it is visible as Cleared Funds in Fabertec's nominated bank account.

3.4 Fabertec is not responsible for delays caused by bank processing times, Customer internal approval
processes, third-party finance providers or late payment by the Customer.

3.5 Where a Customer delays payment and this affects delivery, installation, transport, engineer allocation or ferry
bookings, the Customer shall be responsible for all reasonable costs and losses incurred by Fabertec.

3.6 Fabertec may suspend delivery, installation, warranty support, service attendance or release of spare parts where any invoice is overdue or unpaid.

4. Retention of Title and Risk

4.1 All Goods remain the property of Fabertec until we have received full payment in Cleared Funds for those Goods and for any related delivery, installation, service, storage or other charges.

4.2 Until title passes to the Customer, the Customer shall keep the Goods safe, insured, identifiable as Fabertec property and free from any lien, charge, pledge or other encumbrance.

4.3 Risk in the Goods passes to the Customer on delivery to the Customer's Site, including delivery to the gate, shutter, kerbside, loading area or other agreed delivery point.

4.4 The passing of risk does not affect Fabertec's retention of title rights.

4.5 If payment is not made when due, Fabertec may recover or repossess the Goods, and the Customer grants Fabertec and its agents the right to enter the Site for that purpose, subject to reasonable notice where practicable.

5. Storage

5.1 Once a Machine has been completed, tested and is ready for dispatch, Fabertec will notify the Customer that the Machine is available for delivery.

5.2 Fabertec will store the Machine free of charge for a maximum of 30 calendar days from the date of that notification.

5.3 If delivery is delayed beyond 30 calendar days for any reason outside Fabertec's control, Fabertec reserves the right to charge reasonable storage fees until the Machine is collected or delivered.

5.4 Storage charges shall be payable before delivery takes place.

5.5 Delayed delivery does not suspend, cancel or reduce the Customer's obligation to pay the agreed price and any other charges.

6. Delivery

6.1 Delivery will only be scheduled once full payment has been received in Cleared Funds unless Fabertec expressly agrees otherwise in writing.

6.2 Delivery dates cannot be confirmed before payment has cleared. This is because Fabertec may need to book and pay external transport providers, Hiab vehicles, specialist machinery carriers, ferry crossings or other logistics providers. If payment is late, Fabertec may lose transport bookings or incur cancellation charges.

6.3 Machine delivery is chargeable unless the Quotation expressly states that delivery is included. Delivery charges depend on machine type, weight, dimensions, delivery postcode, distance from Fabertec, unloading requirements, vehicle type and any special route or ferry requirements.

6.4 Where transport is cancelled, delayed or postponed because payment has not cleared, the Customer is not ready to receive the Machine, the Site is unsuitable, or the Customer changes the agreed date, the Customer shall be responsible for cancellation charges, wasted journey charges, storage fees, ferry charges, accommodation costs and any other reasonable costs incurred by Fabertec.

6.5 Unless specifically agreed otherwise in writing, delivery is to the Customer's premises only, meaning gate, shutter, kerbside, loading bay or other accessible delivery point. Fabertec is not responsible for unloading or moving the Machine into its final position unless machinery moving services have been quoted and agreed separately.

6.6 The Customer is responsible for providing suitable unloading and movement equipment, including forklifts, cranes, pump trucks, lifting equipment, skates, spreader beams or other equipment required for safe unloading and positioning. Fabertec will advise the Customer of known minimum requirements where practical, but the Customer remains responsible for Site safety and equipment availability.

6.7 The Customer must inspect the Machine for visible transport damage while it remains on the delivery vehicle. Any damage must be reported immediately to Fabertec before unloading or moving the Machine. No transport damage claim shall be accepted after the Machine has been moved into the Customer's unit unless the damage could not reasonably have been identified at delivery.

6.8 Where heavy components such as vacuum pumps, control boxes, chillers or accessories are located on the machine bed during transport, the Customer must ensure they are removed before moving the Machine if required for safe handling or where forklift access is limited.

7. Installation and Commissioning

7.1 Installation and commissioning are subject to engineer availability and Site readiness.

7.2 Fabertec normally requires a minimum of two weeks' notice to prepare and schedule installation. During busy periods, engineers may be booked several weeks, or in some cases one to two months, in advance.

7.3 Fabertec will try to work with the Customer to find a suitable installation date. However, any installation date offered by Fabertec should be accepted and followed where reasonably possible. Moving or cancelling a date can cause Fabertec lost engineer time, lost service capacity, lost profit, wasted travel and a delay before the next
available installation window.

7.4 If the Customer cancels, postpones or is not ready for an agreed installation date, Fabertec reserves the right to charge for wasted engineer time, travel, accommodation, vehicle costs, ferry costs, waiting time, lost installation capacity and any other reasonable costs incurred. The next available installation date may be two to
three weeks later or longer, depending on engineer availability.

7.5 For installations in Northern Ireland and the Republic of Ireland, islands and other remote locations, the Customer acknowledges that visits commonly require three to four days of engineer time, ferry bookings, accommodation and travel planning. Any cancellation or postponement by the Customer may incur surcharges and may result in a
substantial delay before Fabertec can offer a further installation window.

7.6 Installation shall only be booked once the Customer has provided satisfactory evidence that all required services and Site preparations are complete. Fabertec may request photographs, videos, signed pre-installation forms and other evidence to avoid misunderstanding.

7.7 Fabertec engineers are not permitted to carry out fixed electrical installation within the Customer's premises. Machines may be supplied with cables and three-phase plugs where applicable. If only an isolator is available, the Customer must provide a qualified electrician to complete the connection on installation day.

7.8 The Customer shall ensure electrical sockets, isolators, breakers, cabling, compressed air, gases, extraction, floor space, access and lifting equipment are prepared before the Fabertec engineer arrives. Required electrical information will be supplied during the invoice or pre-installation process where applicable.

7.9 If Fabertec engineers are delayed because the Site is not ready, Services are missing, access is blocked, lifting equipment is unavailable, operators are absent, materials are missing or the Customer requires changes to the agreed layout, Fabertec may charge for waiting time and additional labour.

7.10 The Customer must decide the final position of the Machine and associated equipment before installation begins. Repeated movement of equipment, late layout changes or moving equipment after installation has started may be chargeable.

8. Additional Requirements for Fibre Laser Installations

8.1 For fibre laser cutters, the Customer shall prepare all technical gases, electrical supplies, compressed air and extraction requirements before Fabertec engineers attend Site.

8.2 Oxygen and nitrogen supplies must be available where required, together with suitable regulators and 8 mm and 12 mm rigid hose or pipe outlets installed ready for connection near the Machine.

8.3 Compressed air must be prepared adjacent to the Machine and must meet the pressure, flow and air quality requirements advised by Fabertec. Where the Customer intends to cut using compressed air, higher pressure supply, including up to 16 bar where specified, may be required.

8.4 The Customer shall provide suitable metal sheets, assist gases and test material required for commissioning and training unless expressly agreed otherwise in writing.

8.5 Where the Customer chooses to reuse existing compressors, nitrogen generators, dust extraction systems, pipework, chillers or other equipment, Fabertec accepts no responsibility for lack of suction, insufficient pressure, poor air quality, inadequate flow, contamination, instability or incompatibility. Any resulting performance issue, diagnostic work or rectification work is outside standard installation and may be chargeable.

8.6 Fabertec is not responsible for delays, poor cutting results or damage caused by gases, compressed air, extraction or third-party equipment that does not meet the Machine requirements.

9. Customer Site Responsibilities

9.1 The Customer is responsible for ensuring that the Site is safe, accessible and ready for delivery, installation,
commissioning, training or service work.

9.2 Before Fabertec attends Site, the Customer shall ensure:

  • Safe and suitable access is available for delivery vehicles and engineers;
  • The floor is suitable for the Machine weight and is clean, level and free from obstruction;
  • Forklifts, cranes, pump trucks and other lifting or moving equipment are available where required;
  • Electrical supplies, breakers, isolators, sockets and earthing are prepared by a qualified electrician;
  • Compressed air, extraction, gases, regulators and pipework are installed where required;
  • Sufficient space is available around the Machine for installation, operation and maintenance;
  • All operators and responsible managers are available during installation, commissioning and training
  • Test materials, tooling, gas, consumables and production files are available where required.

10. Training and Operator Attendance

10.1 Training is provided as part of installation only where included in the Quotation or agreed in writing.

10.2 The Customer shall ensure all intended machine operators are present, attentive and available throughout the full training period.

10.3 Operators must not leave the training session for production duties, meetings, lunch breaks, smoking breaks or other interruptions without agreement from the Fabertec engineer. Training time is limited and is intended to be used efficiently.

10.4 Fabertec shall not be responsible for claims of insufficient training, lack of operator knowledge, reduced productivity or additional training requirements where operators failed to remain present, attentive or engaged during training.

10.5 Additional training after installation may be provided subject to engineer availability and shall be chargeable at Fabertec's prevailing rates.

10.6 The Customer should send complex files, cutting requirements, carvings, 3D models or unusual production requirements to Fabertec at least two weeks before installation where practical. This allows Fabertec to prepare tooling, parameters or engineer guidance where possible.

12. Mandatory Preventative Maintenance and Warranty Continuation

12.1 For any warranty period longer than 12 months, mandatory chargeable preventative maintenance visits are required to keep the warranty valid.

12.2 For machines with a 2-year warranty, the Customer must complete a mandatory annual service within the required service window.

12.3 For machines with a 5-year warranty, the Customer must complete mandatory annual service visits at or before the relevant anniversary dates to keep the remaining warranty active.

12.4 Mandatory service visits are chargeable unless expressly stated otherwise in writing.

12.5 The Customer is responsible for booking the required service visits. Fabertec may send reminders as a courtesy, but the obligation to book and complete service remains with the Customer.

12.6 If, after two reminders, the required maintenance visit has not been booked and completed, the remaining warranty shall lapse automatically.

12.7 Without prejudice to Fabertec's other rights, if the relevant service has not been completed by the 13th, 25th, 37th or 49th month from installation, the remaining warranty shall lapse. Once lapsed, the warranty will not be reinstated unless Fabertec expressly agrees in writing.

12.8 A lapsed warranty does not affect the Customer's obligation to pay for any completed or scheduled maintenance, service, repair, travel, parts or diagnostic work.

27.1 If any clause or part of these Terms and Conditions is found to be invalid or unenforceable, the remaining clauses shall remain in full force and effect.

27.2 No failure or delay by Fabertec in enforcing any right shall constitute a waiver of that right.

27.3 The Customer may not assign or transfer its rights or obligations without Fabertec's prior written consent.

27.4 These Terms and Conditions, together with the Quotation and invoice, constitute the entire agreement between Fabertec and the Customer for the relevant Goods and Services, unless otherwise agreed in writing.

27.5 These Terms and Conditions are governed by the laws of England and Wales. The courts of England and
Wales shall have exclusive jurisdiction over any dispute arising from or in connection with them.
